Elena Daly is an independent consultant who periodically works with our firm. She has been involved for over 20 years in cross-border corporate, compliance, financial and investment matters. She has extensive experience and expertise in complex international corporate and financial transactions, as well as in management and workouts of distressed investments in both sovereign and corporate financial instruments.
The first graduate of a U.S. law school coming from Russia, she has had an unusually rich transatlantic career at the intersection of law and finance and operates comfortably in multicultural business environments.
Ms. Daly spent the first part of her career working at Sullivan & Cromwell and Cleary Gottlieb on complex capital market transactions and advising governments in various parts of the world on their external debt management and related economic reform programs. Among many mandates, she was involved in the restructuring of the Soviet era debt and the reentry of the Russian Federation into the international capital markets, as well as the first IPO of a major telecom company with Russia-based assets.
Attracted by the business side of her practice, she then directed her career towards market regulatory and financial services industry, where she acted in various senior legal and compliance positions for over a decade.
After assisting the NYSE in launching NYSE-International and helping to adapt Sarbanes-Oxley Act requirements to non-U.S. issuers, Ms. Daly focused her career on emerging markets risk assessment and targeted investments within various types of financial institutions, such as investment banks and investment funds (at Citigroup, Fortress Group and Nomura International PLC). She provided senior legal guidance to the boards and business teams on corporate governance and risk assessment of companies’ entry in new markets.
Ms. Daly is currently the Principal of EM Conseil, a Paris-based consultancy focusing on risk assessment of emerging markets financial transactions, compliance and corporate governance matters affecting global companies. She is also an industry expert on sovereign debt management matters and a member of the Euro 50 Group.
Ms. Daly is a regular speaker at major professional venues and a visiting lecturer at a number of U.S. and European universities. She is an author-contributor to an expert volume Sovereign Debt Management (published in 2014 by Oxford University Press), and has published a number of articles in her fields of expertise.
Ms. Daly holds a Masters in Laws degree from Berkeley Law School (Boalt Hall) and a Juris Doctor degree with high honors from the Moscow State University’s School of Law. She is admitted to the New York State Bar and a member of various bar associations.
